We handle joint venture representations for both investors and real estate operating companies. These joint ventures involve single asset transactions and portfolio transactions, and span all property types.  We have experience structuring, negotiating, and implementing limited liability company agreements, partnership agreements, and other joint venture vehicles. This experience includes counseling clients regarding the choice of entity, entity structure, and deal structure

We have formed various entities, including S corporations, professional corporations, nonprofit public benefit corporations, nonprofit mutual benefit corporations, general partnerships, limited partnerships, and limited liability companies   We have experience counseling and structuring closely and family-held businesses and related individuals with regard to resolutions of internal disputes, control contests, transfer of value and/or control between generations, buyout agreements, buy/sell agreements, voting trust agreements, and proxies

We help clients with their corporate governance and corporate maintenance, including filings with governmental agencies, such as the Secretary of State, Department of Corporations, Franchise Tax Board, Internal Revenue Service, Department of Real Estate, and Contractors’ State License Board.
